A team of Goodwin Procter attorneys recently advised client Amerita Inc., a leading provider of in-home specialty infusion services, in its acquisition by PharMerica Corporation. Terms of the transaction were not disclosed.
Based in Irvine, Calif., Amerita has operations in Tennessee, Texas, Oklahoma, Colorado and Utah. Prior to the transaction closing, Amerita was a portfolio company of Goodwin client Ferrer Freeman & Company, which acquired Amerita in February 2006 in a transaction in which FFC was represented by Goodwin Procter.
PharMerica Corporation is a leading institutional pharmacy services company servicing institutional healthcare providers such as nursing centers, assisted living facilities, hospitals and other long-term care providers in the United States. PharMerica operates institutional pharmacies in 44 states and also provides pharmacy management services to long-term care hospitals.
“We were pleased to advise Amerita in its execution of this important transaction and deploy the full reach of our cross-practice and cross-office resources,” said Stuart Rosenthal, a partner in Goodwin’s Private Equity Group, “and we expect this new partnership with PharMerica will help both companies thrive in the future.”
The deal team for this transaction was led by Stuart Rosenthal and included Janet Andolina (tax).
