John F. Anderson joined Goodwin in 2024 as a partner in the Private Investment Funds practice at Goodwin. John advises clients across the globe with complex regulatory, tax, financing and other structuring issues in all aspects of fund formation, most notably for private credit funds in the corporate, venture and real estate asset classes (including funds investing in senior and subordinated debt, preferred equity, structured credit, venture debt, and real estate debt). He has experience working across the spectrum of alternative assets structures and jurisdictions, including open-ended, closed-ended and hybrid format funds, commingled funds and separate account arrangements, structured investments into private funds such as rated notes feeders and CFOs, European funds with Irish, Luxembourg, or UK structures, US-based funds and funds based in typical offshore jurisdictions. John’s experience extends to fund platform development and maintenance matters, including greenfield manager setups and restructurings, joint-venture arrangements and carried interest and related team incentives planning. John also advises on co-investment and secondaries transactions, with a particular focus on credit secondaries.

  • Represented Tikehau Capital in its $300 million inaugural collateralized fund obligation*
  • Represented Tikehau Capital in the formation of Tikehau Private Debt Secondaries Fund II, its second private debt secondaries fund, including the fund’s initial equity and NAV secondary portfolio investments*
  • Represented Temasek in the establishment of Decarbonization Partners, an investment partnership with a large asset management company*
  • Represented AlbaCore Capital in the formation of AlbaCore Partners III Fund, a €2.2 billion debt fund focused on private capital solutions, opportunistic credit and dislocation*
  • Represented Park Square Capital in the formation of Park Square Capital Partners IV, a €2.2 billion subordinated debt fund*
  • Represented SVB Capital in the formation of its venture debt focused fund platform, including Innovative Credit Growth Fund IX, Innovative Credit Income Fund II and related separately managed accounts*
  • Represented Pantheon as lead investor in Ergon svt Long Term Value Fund SCSp, a €270 million single-asset fund invested in svt, the leading European provider of passive fire protection products, installation and restoration management services*

John is a member of the American Bar Association and the New York State Bar Association.

PROFESSIONAL EXPERIENCE

John started his career at Debevoise, spending 14 years in the firm’s New York and London offices. He then spent six years as a Partner and General Counsel at a leading private debt manager. He then rejoined Debevoise and was there for a little over three years before joining Goodwin.
