Stacy Clement is a Senior Attorney and Private Equity Legal Team Advisor for Goodwin's Private Equity group. Stacy founded the Private Equity General Counsel Advisory Team, an embedded advisory platform designed to support private equity legal teams with strategic, operational, and business-minded guidance. The Private Equity General Counsel Advisory Team provides holistic counsel across the full private equity ecosystem, addressing everything from established workflows to bespoke transactions across fund, investment, management company, and portfolio company matters. Drawing on her deep in-house experience, Stacy helps general counsel navigate the full scope of their role, exercise sound business judgment, and make practical decisions grounded in industry insight. Her approach goes beyond traditional legal advice to deliver actionable guidance that unifies perspectives across multiple practice areas, strengthens legal workflows, and drives strategic initiatives that advance clients’ broader business objectives. As a long-term, fully integrated partner, Stacy focuses on helping clients build durable, high-performing in-house legal functions while extracting greater value from their relationships with outside counsel.

Professional Experience

Prior to Goodwin, Stacy was Vice President & Senior Counsel at Vista Equity Partners. Her comprehensive experience spans funds (fundraising, structuring, fund-level transactions), investments (M&A, credit, public equities), portfolio oversight, and management company matters (including corporate, commercial arrangements, litigation, tax, labor and employment, privacy, IP, and real estate). Prior to Vista, Stacy worked in the Private Equity group at another leading global law firm, where she focused her practice on mergers and acquisitions and corporate finance, primarily on acquisitions and divestitures, restructurings, dividend recapitalizations, leveraged buyouts, minority investments, secured and unsecured debt financings, equity financings and refinancings.
