Matthew Giannascoli is an associate in the firm’s Business Law department and a member of its Private Equity group.

Mr. Giannascoli’s practice is devoted primarily to mergers and acquisitions, venture capital and growth equity transactions, with an emphasis on representing private equity sponsors. He also represents private equity funds, venture capital funds, growth equity funds, and emerging growth companies in minority investments, venture financings, and other capital-raising transactions.

Mr. Giannascoli has experience working with clients in many industries including: technology and software, manufacturing, food and beverage, health care information technology, life sciences, energy, and financial services.


Representative matters include:

  • Advised Frazier Healthcare Partners in the sale of Parata Systems to Becton, Dickinson and Company for $1.525 billion.
  • Advised Level Equity in its acquisition of Security Journey, a provider of cyber security training programs.
  • Represented Peloton Equity in a growth equity investment in Grenova, Inc., a manufacturer of green technology for the life sciences industry. 
  • Advised Medical Properties Trust in its acquisition of inpatient behavioral health hospital facilities and an interest in the operations of Springstone, LLC from Welsh, Carson, Anderson & Stowe for $950 million.
  • Represented a health care technology company in its sale to J.P. Morgan Chase & Co. for more than $500 million.
  • Advised multiple private equity firms in a series of portfolio acquisitions and dispositions.
  • Advised a private equity platform company in its bolt-on acquisitions of several telecommunications construction companies.
  • Advised a private equity firm in its acquisition and disposition of a manufacturer of pool and spa products.
  • Advised a private equity firm in its acquisition of a provider of fire and life safety services for commercial, industrial and multi-family buildings.
  • Advised a private equity firm in the sale of one of its portfolio companies, a wallpaper, fabric and high-end furniture designer.
  • Represented a publicly traded food & beverage client in its acquisition of a health foods business for $700 million.
  • Represented a venture backed technology company in a series of preferred equity and convertible note financings.
  • Advised a venture backed life sciences company in a series of convertible note financings.
  • Represented a privately held behavioral health company in connection with an auction-based sale process to a private equity fund.
  • Advised a designer and manufacturer of entertainment and live event solutions in its sale to a private equity fund for $310 million.
  • Advised a nonprofit charitable organization in connection with a nonprofit M&A transaction by an acquirer with over $350 million in assets.
  • Advised a medical device, drug discovery and development company in a strategic acquisition.
  • Represented a private equity firm in its minority investment in an e-commerce clothing company.
  • Represented a private equity firm in its acquisition of a policy and procedure management software company.
  • Represented a private equity firm in its acquisition of a Texas-based provider of plumbing and HVAC services.
  • Represented a private equity firm in the sale of one of its portfolio companies, a global technology research and advisory firm.
  • Represented a private equity fund in its investment of mezzanine debt and equity to sponsor the growth of a leading architecture firm.
