Mark Bettencourt, a partner in Goodwin's Technology and Life Sciences groups, concentrates in general corporate and securities law and has extensive experience in mergers and acquisitions, public offerings, private placements of debt and equity securities, securities law compliance, and technology transfer and licensing. Mr. Bettencourt serves as Goodwin’s Managing Partner, and in such capacity chairs the firm’s Management and Allocations Committees, and serves on its Executive Committee.

Recognized for his corporate/M&A and technology law experience by Chambers USA, The Legal 500 and Lawdragon 500, Mr. Bettencourt represents private and public companies in the software, financial technology, digital health, healthcare information technology, robotics, artificial intelligence, and information services industries. He works with companies from their initial financing through successful initial public offerings or acquisitions. A significant portion of Mr. Bettencourt's practice involves cross-border acquisitions and financings. He regularly counsels non-US technology companies in connection with their US operations.

Mr. Bettencourt also represents venture capital and private equity firms in connection with portfolio investments in operating companies, and investment banks in connection with underwritten public offerings.

  • iRobot Corporation in its $141 million acquisition of Robopolis SAS.
  • HubSpot, Inc. in its offering of $400 million of convertible senior notes
  • Toast in its $115 million Series D financing
  • iRobot in the sale of its Defense & Security Business
  • HubSpot in its $125 million IPO on the New York Stock Exchange and its $152 million follow-on offering
  • Underwriting syndicates led by Barclays, Citi, Credit Suisse, Goldman Sachs and JP Morgan in public offerings
  • iRobot Corporation in its $74 million acquisition of Evolution Robotics, Inc.
  • Endeca Technologies, a leading provider of unstructured data management, web commerce and business intelligence solutions, in its sale to Oracle

Mr. Bettencourt formerly served as the co-chair of the Business Law Section of the Boston Bar Association.

Prior to joining Goodwin in 2005, Mr. Bettencourt was a partner in the Business Practice Group at Testa, Hurwitz & Thibeault in Boston, where he served as co-chair of the Corporate Finance and Securities Group.
