Steven Clemens is a partner in the firm’s Business Law Department and Tax practice. Mr. Clemens advises fund sponsors, investors and issuers on domestic and cross-border tax matters that arise from complex mergers and acquisitions. Noted by Law360 as a “highly effective problem solver,” Mr. Clemens counsels and represents both strategic and financial clients on the formation of investment funds. In addition, he has extensive industry experience in sectors including private equity, financial services, chemicals, energy, industrial, healthcare, life sciences and retail.

  • One Equity Partners in its minority investment in INTREN, LLC, a provider of specialty contracting services to major utilities.*
  • J.H. Whitney in its cross-border acquisition of German-headquartered 3B Scientific group, which has 15 subsidiaries around the globe.* 
  • J.H. Whitney and portfolio company PSA Healthcare in connection with the merger of PSA Healthcare and Epic Health Services to form newly-named Aveanna Healthcare.* 
  • Blackstone Tactical Opportunities Advisors, LLC in connection with an equity investment in BTIG, LLC, a US-based financial services firm.*
  • First Atlantic Capital in the sale of its majority interest in TestEquity to LKCM Headwater Investments, a Texas-based private equity firm.* 
  • Starr Investment Holdings in its US$4.4 billion acquisition of MultiPlan, Inc. from BC Partners and Silver Lake Partners.* 
  • 3G Capital Management in its acquisition, along with Berkshire Hathaway, of the H.J. Heinz Company.* 
  • Duff & Phelps Corporation in its acquisition by a private equity consortium led by The Carlyle Group.*

  • Bain Capital in numerous transactions, including its acquisition of Burlington Coat Factory, the phosphates business of Rhodia S.A., the Styron division of the Dow Chemical Company, Consolidated Container Holdings LLC and Big Tex Trailer.*
  • Ladder Capital Corp. in its initial public offering using an "Up-C" structure.* 
  • Kinderhook Industries in numerous transactions including its pending sale of the Environmental Quality Company to US Ecology, Inc.*

Professional Experience

Prior to joining Goodwin, Mr. Clemens was most recently a partner in the Tax practice group at Dechert LLP in New York. His legal career began in Dechert’s Philadelphia office and was followed by a move to Kirkland & Ellis in New York before rejoining Dechert.
