Gemma Roberts, a partner in Goodwin’s Private Equity Group, represents a broad range of private equity sponsors, corporate clients and portfolio companies on a variety of corporate and commercial advisory matters. She specializes in leveraged buyouts, growth equity and venture capital investments, cross-border mergers and acquisitions, corporate reorganisations and management incentive schemes. Ms. Roberts works with clients in industries ranging from software, technology and business services, to food and consumer products.

Private Equity and Growth Equity

Ms. Roberts' recent private equity and growth equity experience, includes representing:

  • Graphite Capital on its sale of Standard Brands, manufacturers of branded and private label ignition products including solid and liquid firelighters, charcoal and firelogs
  • Spice Private Equity (Bermuda) Ltd in the acquisition of a significant minority stake in Leon Restaurants, a naturally fast food chain
  • DST Global in connection with series investing rounds in Roofoods Ltd, trading as Deliveroo, the online food delivery company
  • W Capital Partners in connection with certain growth capital investments in First Utility, a gas and electricity supplier
  • Better Capital in connection with the sale of Santia Holdco Limited, a UK health and safety business, to Alcumus Holdings, a portfolio company of Inflexion
  • G Square Healthcare Private Equity in the acquisition of the Brookdale Care Homes business
  • eVentures in connection with a joint venture investment with Farfetch, an online fashion platform
  • JMI Services in connection with an equity investment in Concorde Solutions, a software solutions business
  • JMI Services in connection with certain growth equity investments in certain UK technology companies
  • Bain Capital in respect of its £230 million acquisition of a majority stake in Plasma Resources UK Ltd from the UK Department of Health*
  • Francisco Partners on the acquisition of Masternaut Group, a fleet management and industrial telematics company*
  • Bain Capital in respect of $1.3 billion acquisition of Atento from Telefonica*
  • Bain Capital in the acquisition of the Styron Division of the Dow Chemical Corporation for $1.6 billion*

  • A U.S. corporate client in the acquisition of First Tutors, an early stage online private tuition business
  • Sophos Group, a security software and hardware company, in connection with the acquisition of Barricade Solutions, an early stage security analytics provider
  • Georg Jensen, a Danish jewelry retailer, in connection with various corporate and management incentive arrangements
  • Nintex Global, an Australian-based cloud services business, in a global corporate reorganisation of its group companies from Australia to the UK
  • Ares Management in the acquisition of GoNative, a provider of serviced apartments to corporate executives and leisure travelers.
  • GreenOak Real Estate in the acquisition of Grafton Advisers (2006) LLP, a London-focused real estate firm, specialising in investment, development and asset management
  • SpeedCast International Limited in respect of its acquisition of Hermes Datacommunications International Limited, a leading global provider of managed network services for the upstream oil and gas industry
  • Luxembourg property company in the disposal of its Dutch property portfolio to Hansteen Holdings for €106 million
  • ExamWorks UK Limited in respect of its £65.9 million acquisition of Premex Group, a medical reports provider*
  • Brakes Bros in respect of its equity investment in Menigo FoodService, a Swedish foodservice distribution business*

Ms. Roberts is a member of the Law Society of England and Wales.

Professional Experience

Prior to joining Goodwin, Ms. Roberts was an associate in the corporate and private equity team of Kirkland & Ellis International LLP for five years. In 2008, she spent six months on secondment with the in-house legal team at 3i plc. She completed her training contract at Clifford Chance LLP.
