A.J. Weidhaas is a partner in and co-chair of Goodwin's Private Equity group, as well as a member of its Technology and Emerging Companies practice. Mr. Weidhaas serves on the firm’s Allocations Committee and has previously served on its Executive Committee and as chair of the New York Business Law Department. He specializes in private equity and venture capital investments, including growth equity investments, leveraged buyouts and leveraged recapitalizations, going private transactions, and mergers and acquisitions. Mr. Weidhaas’ experience ranges from the representation of early stage growth companies and financings and buyouts in the micro-cap space through later stage growth equity investments and LBOs and the representation of Fortune 50 financial institutions in strategic investments, merchant banking activities and private M&A. His industry expertise includes technology, healthcare, consumer products, defense, real estate and financial services.

  • KIND Snacks, an all-natural consumer products company, in general corporate and finance matters, including growth equity investments by VMG capital and BDT Investments.
  • Behrman Capital in its:
    • Acquisition of BECO Holding Company, Inc., the nation's leading business-to-business wholesale distributor of first-response fire protection equipment and related parts, from Freeman Spogli & Co.
    • Acquisition of Tresys Technology, a provider of cybersecurity products and services.
    • Acquisition of Carr Management Inc., a specialized manufacturer of blow-molded, high-density polyethylene bottles for the dairy, water, food, industrial and nutraceutical industries.
    • Sale of five companies from Behrman Capital III LP, a $1.2 billion buyout fund that closed in 2001, to a newly created investment vehicle backed largely by Canada Pension Plan Investment Board, which committed $654 million to the $1 billion vehicle.
    • Acquisition of Atherotech, Inc., a diagnostic testing and disease management company which offers comprehensive, cost-effective testing solutions to health care providers and patients.
    • $525 million sale / leaseback transaction to Omega Healthcare Investors, pursant to which Omega acquired 55 skilled nursing facilities and one assisted living facility. Investment funds affiliated with Behrman Capital were the principal selling shareholders of Ark Holding in the transaction.
    • $283 million sale of Athena Diagnostics, a reference laboratory focused on the development and commercialization of diagnostic testing for neurological disorders, to Fisher Scientific International, Inc. (NYSE: FSH).
    • Sale of Esoterix, Inc., a specialty diagnostics company, to Laboratory Corp. of America Holdings for $150 million in cash.
    • $335 million sale of portfolio company Hunter Defense Technologies Inc., a military and security products maker, to an investor group led by Metalmark Capital LLC.
    • Sale of Peacock Engineering Company to Charlesbank Capital Partners. Peacock Engineering Company is a provider of processing and packaging services to the food industry.
    • $500 million sale of WIL Research Holding Company, Inc. to ACAS. WIL provides a variety of study and formulation capabilities, as well as bioanalytical capabilities in support of both non-clinical and clinical research studies.
    • $295.5 million sale of Woodcraft Industries to Olympus Partners. Woodcraft is a leading outsourced manufacturer of hardwood and engineered wood doors and components.
  • Great Hill Partners in its:
    • Growth equity investment in DealerRater, a premier car dealer review website.
    • Growth equity investment in Network Merchants, a leading provider of e-commerce payment gateways.
    • Sale of PayChoice, a Great Hill portfolio company to Sage Software, Inc., for $157.8 million. Paychoice provides payroll services and accounting and related business software.
    • Acquisition of Qualifacts, the largest Software-as-a-Service electronic health record (EHR) provider for the behavioral health and human services industries.
    • $370 million sale of Custom House to The Western Union Company (NYSE: WU). Custom House is the largest non-bank foreign exchange company in North America and one of the largest on the planet.
    • Growth equity investment in Custom House.
    • Sale of SterilMed, Inc., a Minnesota-based healthcare cost containment company focused on medical device reprocessing, to Johnson & Johnson for $350 million.
    • Recapitalization of Paychoice, which provides payroll and self-service solutions for small to medium-sized businesses.
  • Bregal Sagemount in its:
    • $20 million growth equity investment in Recondo Technology, a company that connects healthcare providers, payers and patients using breakthrough cloud computing solutions throughout the healthcare revenue cycle.
    • Acquisition of Netrada North America. 
  • Primus Capital in its:
    • Growth equity investment in Emmi Solutions, a provider of patient engagement and empowerment technologies.
    • Growth equity investment in CardinalCommerce Corporation, a leader in enabling authenticated payments, secure transactions and alternative payment brands for both eCommerce and mobile commerce.
  • Alberta Investment Management Company (AIMCo) in its
    • Growth equity co-investment in Milacron Holdings with CCMP.
    • Growth equity co-investment in Glass Lewis with Ontario Teachers.
  • 479 Degrees, an organic flavored popcorn company, in general corporate matters, and a growth equity investment.
  • Live Gamer, Inc., an on-line payments solutions company, in general corporate matters.
  • Natural Chemistry LP, in general corporate advice and a leveraged recapitalization. .
  • Perceptive Pixel, a developer and marketer of advanced multi-touch computer interfaces, in its sale to Microsoft Corporation.
  • Cantor Fitzgerald in its:
    • Acquisition of Grubb & Ellis in a 363 sale.
    • Acquisition of Newmark Knight Frank.
    • Growth equity co-investment with CIM Group into Cantor Commercial Real Estate.
  • Personal Communication Devices, a Pinebridge portfolio company, in its sale to Quality One.
  • AIG Global Investments in its:
    • Growth equity financing of Wisdom Tree Investments, Inc., which has developed the first family of fundamentally weighted indexes and ETFs.
    • $200 million investment in Knowledge Universe Education, L.P., a Cayman Islands limited partnership.
    • Growth equity financing of Faith Media, a digital community connecting churches and congregants worldwide.
    • Participation in the Blackstone IPO.
    • Co-investment in the $7.3 billion buyout of CDW Corporation.
    • Acquisition financing of Drie Mollen, a coffee and tea wholesaler and distributer.
    • Co-investment in Firth Rixson, a global leader in aerospace jet engine components.
    • Acquisition of Milagro
  • AIG Horizon Partners LLC in its:
    • Growth equity investment in Fresh Direct Inc., an online grocery, by AIG sponsored investment funds.
    • Growth equity investment in Legendary Films
    • $50 million growth equity investment in Royalty Pharma.
  • PineBridge Investments in its growth equity investment in Urgent Care of Connecticut (“UCC”), the largest network of urgent care centers in Connecticut.
