Bethany Withers is a partner in Goodwin’s Strategic Technology Transactions and Licensing practice and a member of the firm’s Technology and Life Sciences group. Ms. Withers concentrates on technology and intellectual property transactions, including licensing, strategic alliance, joint development, referral, distribution, reseller, collaboration and other commercial transactions, intellectual property issues in mergers, acquisitions and venture capital and private equity transactions, and compliance with sweepstakes and other promotional laws. Ms. Withers works with a broad base of start-up, venture-back and growth companies, advising these companies on protecting, licensing, acquiring and selling intellectual property. She joined Goodwin in 2011.





Ms. Withers’s representative transactions include:

  • Sound United, a leading supplier of speakers, sound bars and wireless music systems, in its purchase of the D&M Group, owner of the Denon, HEOS, Marantz and Boston Acoustics brands
  • BlueRock Therapeutics, a next-generation regenerative medicine company launched by Versant Ventures and Bayer, in its foundational license agreement with Memorial Sloan Kettering
  • Paperless Post, an online stationery and invitations platform company, in connection with strategic transactions with Yahoo and Disney
  • Invaluable, a leading online live auction marketplace, in its strategic partnership deals with eBay and Sotheby’s
  • Royalty Pharma in its acquisition of royalties in a number of transactions, including its $2.8 billion acquisition of the Perrigo company’s royalties on Tysabri and its $1.14 billion acquisition of UCLA’s royalties on Xtandi
  • Liverail, an online video advertising technology company, in its sale to Facebook
  • Songza, a music mobile app company, in its sale to Google
  • New Balance, a global athletic leader, and Berkshire Partners, a Boston-based investment firm, in their purchase from the adidas Group of The Rockport Company, a leading designer and marketer of high-quality comfort footwear for men and women
  • Alnylam Pharmaceuticals in its transformational alliance with Genzyme for RNAi therapeutics
  • TA Associates, Goldman Sachs and Charlesbank in their respective investments in, or purchases of, a variety of technology and other companies
  • Various commercial transactions for clients such as:, an identification authentication technology company; Elysium Health, a health products company; Glossier, a beauty and cosmetics company; GoFundMe, a social fundraising platform company; Luminate Health, a SaaS platform company that enables patients to directly access lab results; Magenta Therapeutics, a stem cell transplant company; and Qado Energy, an energy analytics platform company
Professional Experience

Prior to joining Goodwin, Ms. Withers served as the Policy & Programs Manager at the Massachusetts Chapter of the National Organization for Women (Mass. NOW).


Ms. Withers was a 2021 recommended lawyer for Patents: licensing by The Legal 500. While attending law school, Ms. Withers was the senior article editor and senior technical editor for the Harvard Law and Policy Review and an article editor for the Harvard Journal of Sports and Entertainment Law. She received the Paul C. Weiler Student Writing Prize for her article, “The Integrity of the Game: Professional Athletes and Domestic Violence,” 1 Harv. J. of Sports & Ent. L. 145 (2010). She has been quoted, interviewed and published by a variety of media outlets on the issue of athletes and violence against women, including The New York Times, CBC Radio-Canada, Slate and USA Today. Most recently, she authored the article, “Without Consequence: When Professional Athletes Are Violent Off the Field,” Harv. J. of Sports & Ent. L. (2015).
