Goodwin Advises Incyte in Expanded Molecular AI Collaboration and License Agreement With Genesis Valued at More Than $1 Billion

The Life Sciences team advised Incyte in the expansion of its strategic collaboration and license agreement with Genesis Molecular AI to accelerate the discovery of novel small molecule medicines using Genesis’ AI platform, GEMS (Genesis Exploration of Molecular Space). Under the terms of the expanded agreement, Incyte will add at least five new collaboration targets and retain exclusive rights to develop and commercialize any collaboration products. Genesis will receive $120 million in upfront consideration, consisting of an $80 million cash payment and a $40 million equity investment, as well as ongoing research funding to support AI model training and compute workloads. Genesis is also eligible to receive up to $232 million in preclinical, clinical, regulatory, and commercial milestone payments per program, which could exceed $1 billion across the initial five targets, in addition to royalties on sales of approved collaboration products.
