Goodwin Advises Sleep Country Canada on Court-Approved Acquisition of Sleep Number Corporation
Goodwin’s M&A and Financial Restructuring teams advised Sleep Country Canada on the successful completion of its acquisition of substantially all of the assets and ongoing business operations of Sleep Number Corporation (formerly Nasdaq: SNBR) through SNBR Inc., a wholly owned subsidiary of Sleep Country Canada. The acquisition positions Sleep Country Canada to expand its North American footprint by building on the companies’ complementary strengths and accelerating growth across the US while introducing Sleep Number’s innovative sleep solutions to Canada and other markets.
Sleep Country Canada served as the stalking horse bidder in Sleep Number’s Chapter 11 sale process and, following a competitive court-supervised auction involving multiple bidders, was selected as the successful bidder. The final transaction was for a cash purchase price of $529.5 million plus the assumption of liabilities for total consideration of approximately $701.8 million. The U.S. Bankruptcy Court for the Southern District of New York approved the transaction, which closed on July 31, 2026.
