Goodwin Advises the Placement Agents on $160 Million PIPE Financing

The Life Sciences team advised the placement agents, Jefferies, TD Cowen, Cantor, and LifeSci Capital, on a $160 million PIPE financing in connection with TriGemX Bio’s proposed business combination with TCGX Acquisition Corp. (Nasdaq: TCGX), a special purpose acquisition company. The PIPE financing consists of common stock priced at $10.00 per share and, together with approximately $86 million held in TCGX Acquisition Corp.’s trust account, is expected to provide approximately $246 million in total gross proceeds to the combined company, assuming no redemptions by TCGX Acquisition Corp.’s public shareholders and before transaction costs. Upon closing, the combined company will operate as TriGemX Bio, Inc., and is expected to trade on Nasdaq under the ticker symbol TGEM. The proceeds are expected to support the Phase 3 clinical development of elismetrep, a potential first-in-class treatment for migraine, and commercial readiness activities ahead of a potential US launch.
