Jim Barrett, a partner in Goodwin’s Private Equity group, is a business and securities lawyer who represents life sciences and other technology companies as well as venture capital and private equity funds. He regularly counsels boards of directors and general partners on corporate governance matters and guides their businesses through all stages of development. Accordingly, Jim concentrates on investment transactions, mergers and acquisitions, securities law and general corporate representation.

Jim serves as Co-Chair of Goodwin’s Pro Bono Committee.

Jim’s work has included representing and/or advising:

  • Ampersand Capital Partners in its 10th private equity fund (Ampersand 2020 LP) which raised $690 million from limited partners, with plans to target promising companies in the health care sector.
  • Nexelis Group Inc., through a newly acquired European subsidiary Nexelis Europe, in the acquisition of 100% of the share capital and voting rights of the Belgium company ImmunXperts.  The completion of the transaction was backed by Ampersand Capital Partners, Nexelis being a portfolio company of the latter.
  • Vibalogics Holdings LLC, a portfolio company of Ampersand Capital Partners, in the sale of preferred equity to multiple investors. 
  • Ampersand Capital Partners and Brammer Bio in its sale to Thermo Fisher Scientific (NYSE: TMO) for $1.7 billion. Brammer Bio is a leading viral vector contract development and manufacturing organization enabling biopharma customers to deliver breakthrough medicines to patients using gene therapies and gene-modified cell therapies.
  • Karuna Therapeutics, Inc. in its $100 million initial public offering and $250 follow-on offering. Karuna is an innovative clinical-stage biopharmaceutical company primarily focused on developing novel therapies to address disabling neuropsychiatric conditions characterized by significant unmet medical need. Karuna is a portfolio company of PureTech Health plc.
  • Ampersand Capital Partners in its PIPE investment of $27 million in Series A Preferred Stock of Interpace Biosciences, Inc. (Nasdaq: IDXG) and subsequent exchange of its Series A Preferred Stock for an equivalent amount of newly created Series B Preferred Stock and an additional $1 million of Series B Preferred Stock. Interpace is a leader in enabling personalized medicine, offering specialized services along the therapeutic value chain from early diagnosis and prognostic planning to targeted therapeutic applications.
  • TriPharm Services, Inc. in its sale to Alcami Corporation, an affiliate of Madison Dearborn Partners. TriPharm is a contract development and manufacturing organization offering parenteral manufacturing options for pharma and biotechnology clients. 
  • Arranta Bio, a contract development and manufacturing organization (CDMO) focused on providing development and commercialization services for therapeutic companies targeting the human microbiome, in its initial financing, strategic partnership with Thermo Fisher Scientific, and acquisition of Captozyme. Captozyme is a leading CDMO helping microbiome pioneers develop therapies for the gut using novel enzymes and live biotherapeutics.
  • Ampersand Capital Partners in its acquisition of a majority stake in N2 Biomedical, a leading provider of coating and surface treatment services for a wide range of medical and dental applications.
  • Lab Central Inc. in its formation, financing and establishment of 501(c)(3) status.
  • Ampersand Capital Partners in its acquisition of Vibalogics GmbH from the PHW Group. Vibalogics is a CDMO with facilities in Cuxhaven, Germany, providing process development and GMP manufacturing services. Founded in 2002, the company is recognized as a leading service provider within the live biologics development and manufacturing industry.
  • resTORbio, Inc. in its $97.8 million initial public offering. resTORbio is a clinical-stage biopharmaceutical company focused on the development and commercialization of novel therapeutics for the treatment of aging-related diseases. resTORbio is a portfolio company of PureTech Health plc.
  • Gelesis, a medical product developer focused on treating weight loss and obesity, in growth equity financings and licensing, collaboration, commercialization and manufacturing matters. Gelesis is a portfolio company of PureTech Health plc.
