Harry Berezin is an associate in Goodwin’s Business Law department and a member of the Technology and Life Sciences group. Harry is also a member of the firm’s Cannabis practice, where he assists cannabis and hemp companies with a range of corporate and regulatory issues, including equity financings, regulatory compliance and mergers and acquisitions.
Experience
Harry’s practice focuses on advising emerging growth companies at every stage of the corporate lifecycle, including pre-incorporation planning, incorporation, general corporate representation and counseling, venture capital financings, secondary sales, corporate governance and mergers and acquisitions, as well as representing venture funds in their investments from seed to growth stage.
In addition, he has extensive experience guiding cannabis companies on compliance with local and state cannabis regulations and state and federal hemp regulations. Harry has vast experience drafting and negotiating commercial cannabis contracts and in guiding cannabis companies through the merger and acquisition process.

Prior to joining Goodwin, Harry was Vice President of Legal & Compliance at Bloom Farms, a licensed cannabis manufacturer and distributor in California and 50-state hemp brand. Harry was responsible for keeping the company apprised of changes to cannabis and hemp regulations and leading the company’s efforts to influence the regulatory landscape at the local, state and federal levels.

While attending law school, Harry won a Book Prize as the top student in Stanford Law School’s Deals I & II courses. The Legal 500 US 2025 recognized Harry as a Leading Associate for his work in Cannabis.
