Billy Chong is an international legal consultant in the firm’s Business Law Department and Life Sciences group. Mr. Chong’s practice focuses on representing private equity firms in their investments and mergers and acquisitions, advising issuers, sponsors, underwriters and financial advisors in Hong Kong IPOs and other equity capital markets transactions.

Private Equity and M&A

  • Represented the controlling shareholder as the offeree for the sale of 75% of the entire share in EPS Creative Health Technology Group Limited (previously known as Speed Apparel Holding Limited) (SEHK: 3860) for an aggregate consideration of HK$370.5 million, which constitutes a mandatory cash offer pursuant to Rule 26.1 of the Takeovers Code*
  • Advised on the share purchase in relation to an acquisition of the entire share capital of an engineering consultancy firm located in various countries by NV5 Global, Inc. (Nasdaq: NVEE) *
  • Represented Cachet Asset Management Ltd. on private funds investment of US$22.3 million in series A-3 preferred shares and series C preferred shares of Qeeka Home (Cayman) Inc. (SEHK: 1739), the largest interior design and construction online platform in China, prior to its global offering in Hong Kong*
  • Advised on private funds investment of US$2.35 million via the issuance of series A preferred shares by a global shipping services provider to global venture capital investment firms. Further advised on its corporate reorganisation prior to its proposed capital exit plan*
  • Represented OSI systems, Inc. (Nasdaq: OSIS), a US leading security screening equipment supplier, on the sales of machineries and equipment to various government departments*
  • Advised a Hong Kong subsidiary of Sharing Economy International Inc. (OTC Markets: SEII) (formerly known as Cleantech Solutions International, Inc.) for the acquisition of two private companies in Hong Kong with consideration shares*
  • Represented Rosan Resources Holdings Limited (SEHK: 0578) on the disclosable and connected transaction in relation to the acquisition of the entire issued share capital of a target company in China via the issuance of consideration shares to the seller of the target company and subscription shares to an associate of a substantial shareholder and an independent investor, respectively, for an aggregate consideration of HK$65.5 million*
  • Advised New City Development Group Limited (SEHK: 0456) on the disclosable and connected transaction in relation to the acquisition of the entire issued share capital of a company in China*
  • Advised Nanjing Sample Technology Company Limited (SEHK: 1708) on the disposal of 19% equity interest in a company, which was categorised as a major transaction*

Capital markets transaction

  • Advised on the share offer of Haina Intelligent Equipment International Holdings Limited (SEHK: 1645), a manufacturer engaging in the design and production of automated machines in China, on main board through IPO, raising about HK$160.0 million (as Hong Kong legal adviser to the sponsor and underwriters)*
  • Advised on the global offering of Sino-Entertainment Technology Holdings Limited (SEHK: 6933), an integrated game publisher and developer in China, on main board through IPO, raising about HK$163.0 million (as Hong Kong legal adviser to the sponsor and underwriters)*
  • Advised on the global offering of Hong Kong Johnson Holdings Co., Ltd. (SEHK: 1955), a leading environmental hygiene service provider in Hong Kong, on main board through IPO, raising about HK$125.0 million (as Hong Kong legal adviser to the sponsor and underwriters)*
  • Advised on the share offer of Man Shing Global Holdings Limited (SEHK: 8309), a provider of environmental cleaning solutions in Hong Kong, on GEM through IPO, raising about HK$48.0 million (as Hong Kong legal adviser to the issuer)*

Compliance

  • Advised Sun.King Technology Group Limited (SEHK: 0580) and Modern Dental Group Limited (SEHK: 3600), on legal and regulatory aspects of post-listing compliance*
  • Provided company secretarial services to private companies in Hong Kong*
