Goodwin Procter recently advised AeroCare Holdings Inc. in its announced all-stock merger with MergeWorthRx Corp. According to the terms of the agreement, AeroCare will become a public company upon completion of the transaction and its existing stockholders will own 53% of the post-merger company. AeroCare, based in Orlando, Fla., is a provider of oxygen, respiratory, sleep and other chronic therapy services to patients in the home. The Company also provides sleep apnea devices. AeroCare serves more than 150,000 patients and generates annual revenue of approximately $150 million through a network of 175 locations across 20 U.S. states.
