David Bernstein, a Counsel in the firm’s Real Estate and Capital Markets Group, writes on how the responsibilities of directors of publicly traded US corporations have increased in the last 15 to 20 years. Bernstein also explains how court decisions regarding directors' obligations, partly from US legislation and resulting Securities and Exchange Commission and securities exchange rules, affected the director’s role.
