Jonathan Chou is a partner in Goodwin’s Technology and Life Sciences groups. He works with (i) emerging growth companies throughout all stages of their lifecycle, from pre-incorporation through angel, seed, and growth financings to exit and (ii) angel, venture, and strategic investors, in the technology and life sciences sectors.

Even after representing hundreds of startups and investors for over a decade, Jonathan hasn’t forgotten his days as a research scientist at a venture-backed biotech, which helps him relate to and connect with founders on a personal level. Because of these shared experiences, Jonathan sees himself not only as an outside general counsel to founders and companies from ideation through exit, but also as a trusted advisor and confidant who is fully committed to solving their problems while occasionally adding a healthy dose of business practicality.

Professional Experience

Prior to joining Goodwin, Jonathan was a partner in the Technology Companies Group at Orrick in New York and began his legal career in the Tech Group at Lowenstein Sandler.

After college, Jonathan joined TetraLogic Pharmaceuticals, a venture-backed startup biotech company based in the Philadelphia area. As one of the first employees with TetraLogic, Jonathan was a cancer researcher focused on the discovery and development of small molecule targeted chemotherapeutics.

Professional Activities

Jonathan regularly speaks about start-up law, issues founders face, technology/innovation trends, corporate governance and angel/venture investing. In addition to teaching an angel/venture investing course for three years as an adjunct professor at Columbia Business School, he has also lectured at NYU Stern School of Business and the Entrepreneurship and Innovation Clinic at Yale Law School. Additionally, he regularly hosts office hours for startup companies and founders at various incubators/accelerators across the country, including NYU Tandon Future Labs, South Park Commons, Propel Program and Halo Incubator.
