Andrew C. Sucoff

Andy Sucoff is chair of Goodwin's Boston office, former co-chair of the firm's Real Estate Industry group, and co-chair of Goodwin's PropSci initiative. Andy advises REITs, institutional investors, lenders, pension fund advisers, developers, tenants, and other owners and operators of commercial real estate on sophisticated transactions across the United States. Clients rely on Andy to structure complex acquisitions, dispositions, joint ventures, financings, recapitalizations, portfolio transactions, and leasing arrangements that support strategic investments and long-term growth.

For more than 35 years, Andy has advised clients across a broad range of asset classes, including retail, office, multifamily, industrial, hospitality, gaming, life sciences, and senior housing. His practice includes UPREIT and DownREIT transactions, portfolio acquisitions and dispositions, distressed real estate, recapitalizations, and complex leasing matters. Through Goodwin's PropSci initiative, Andy also advises clients at the intersection of real estate and life sciences, helping them navigate the unique opportunities and challenges of this rapidly evolving sector. In addition to his work for clients, Andy serves as assistant general counsel of the firm, responsible for all of the firm’s leased real property.

Since 2011, Andy has joined other Goodwin attorneys and professional staff to cycle 160 miles over two days in the Pan-Mass Challenge, a charity bike ride which raises money for the Dana-Farber Cancer Institute. Team Goodwin has raised over $2 million for cancer research and treatment.

Andy's representative experience includes:

• Represented a joint venture between a private real estate investment firm and a real estate developer in securing a $178 million mortgage loan for a 460,000-square-foot office development in Tustin, California.
• Advised a pediatric surgery center in the sale-leaseback of its property in Kansas City, Kansas.
• Represented a real estate investment management firm in the acquisition of a portfolio of industrial properties throughout Minnesota.
• Represented EPOCH Holdings in four simultaneous transactions involving the sale of a portfolio of 11 senior living communities to Welltower, arrangements for the sale of two additional senior living communities, the disposition of its remaining interest in a joint venture with Welltower, and the sale of EPOCH Senior Living to Cogir Services USA.
• Represented a pharmaceutical services company in a $35 million sale-leaseback of a manufacturing facility in Huntsville, Alabama. The transaction also included the acquisition of the facility and adjacent development parcels, an equipment lease restructuring, and $18.5 million of seller financing.
• Represented a publicly traded biopharmaceutical company in connection with the negotiation of its headquarters lease and the relocation of its corporate headquarters from Maryland to New Jersey.
• Represented several operating companies of private equity clients in connection with sale-leaseback transactions involving manufacturing and other operational real estate in Maine, Texas and Vermont, including Stonewall Kitchen’s sale and simultaneous 20-year leaseback of its retail store and corporate headquarters in York, Maine.
• Represented a healthcare fund in connection with the relocation of its New York City headquarters, including the negotiation of its lease at 568 Broadway.

Andy is a member of the Boston Bar Association, the American Bar Association, and the Real Estate Finance Association.
