Raymond Fang is an associate in Goodwin’s Real Estate Industry group. Mr. Fang is a corporate/transactional lawyer with a recent focus on UK and Pan European real estate M&A, investments, and joint ventures, acting for international and domestic private equity, institutional, listed and private clients. Mr. Fang is experienced executing UK and cross-border private M&A transactions, from corporate structures owning a trophy single RE asset to large multi-jurisdiction portfolios, and including operational assets/businesses across the Real Assets spectrum.





  • Advised HK listed real estate company on its leveraged acquisition of the corporate structure owning London’s iconic “Cheesegrater” building for c.£1.15B (Estates Gazette deal team winner 2017).*
  • Advised US private equity fund, on various disposals, including the sale of the Pure Student Living student accommodation portfolio, consisting of 2,170 rooms across five prime London sites, for c.£532M.*
  • Advised a UK listed REIT on its purchase of all the units in various Jersey Property Unit Trusts ultimately holding freehold and long leasehold interests in 55 Travelodge sites for, and its follow up acquisition of another 59 Travelodge sites for a further, for an aggregate value of c.£400M.The deal was funded by a mix of debt and fresh equity.*
  • Advised UK listed REIT on the acquisition of: (a) a Jersey and Delaware corporate structure ultimately owning a portfolio of 25 multi-let industrial assets located across the UK (c. 2 million sq ft), for c. £127M; and (b) C2 Capital, a real estate investment and asset management platform which serviced the portfolio, as well as various European and UK disposals of non-core assets.*
  • Advised Taiwanese life insurance company on its £320M debut London purchase of the corporate structure owning Woolgate Exchange from TPG Capital, and its £575M acquisition of the corporate structure owning the Walbrook Building (410,000 sq. ft. of office space, 35,000 sq. ft. of stores and restaurants) in UK’s biggest single asset deal of 2016.*
  • Advised UK arm of global real estate investment, development and management firm on both buy and sell side for deals worth c.£600M , including in relation to various central London assets, and a landmark 319,000 sq ft Birmingham office and retail building.*
  • Advised US hedge fund on its acquisition in 2015 of a corporate structure owning a portfolio of self-storage facilities, its disposal of the same portfolio to a listed industry buyer in 2018, and other corporate real estate disposals.*
  • Advised UK headquartered PE RE asset management firm on various matters, including: (a) its joint venture with a developer and operator of a student accommodation portfolio relating to eight UK sites; (b) its proposed acquisition of a landlord of c.300 sites leased to one tenant (via an equity and distressed debt acquisition/refinance arrangement); and (c) its disposal of the 6 Mitre Passage office building in Greenwich.*
  • Advised UK listed hospitality company on its acquisition of all the shares in the statutory holding company that owns the iconic Brighton Pier pleasure pier and business in a reverse takeover under the AIM Rules.The deal was funded by a mix of fresh equity and debt.*
  • Advised a European debt fund on its investment in a shopping centre via an innovative debt acquisition/restructure/refinance.The deal was completed by way of an acquisition of units in a JPUT by a Jersey orphan structure, and a series of arrangements which provided the debt fund client with economic rights in and “quasi-equity type” controls over the structure and asset.*
  • Advised a Chinese insurance company on its proposed acquisition of a significant London single asset (via a corporate wrapper) for c.£700M.*
  • Advised European investor on various joint ventures, including its JV with Fidelidade (a Portugese insurance group ultimately owned by Fosun Property, a Chinese insurance group), and the JV’s investment in Thomas More Square for an asset value of c.£300M.*
  • Advised an Israeli hospitality group on its joint venture with a Luxembourg based real estate fund, and its investment in a European portfolio of hotels via a mix of equity, shareholder mezzanine debt and options to subscribe.*
  • Advised a Japanese listed real estate company on a series of disposals of London assets (via corporate wrappers) totalling c.£110M.*
