The Public M&A and Technology team advised Lumine Group (TSXV: LMN), a global acquirer of communications and media software businesses, on its definitive agreement to acquire Synchronoss Technologies (Nasdaq: SNCR), a leading provider of personal cloud platforms, in an all-cash transaction.
The transaction values Synchronoss at an implied equity value of approximately $116.4 million and an enterprise value of approximately $258.4 million. Under the terms of the agreement, Synchronoss shareholders will receive $9.00 per share in cash, representing a premium of approximately 70% over the closing price on December 3, 2025. Upon closing, Synchronoss will become a privately held company. The transaction is expected to close in the first half of 2026, subject to shareholder and regulatory approvals and customary closing conditions.
