One GI Acquires Gastroenterology Health Partners, its Sixth Acquisition in 12 Months

The Healthcare and Private Equity teams advised One GI on its acquisition of Gastroenterology Health Partners, PLLC (GHP). The deal marks One GI’s sixth acquisition in the last 12 months since its formation in April 2020.

One GI is a gastroenterology management services organization formed by private equity firm Webster Equity Partners. The organization partners with gastroenterology physicians to help them manage, optimize, and grow their practices. In the past year, One GI has expanded significantly through the acquisition of six leading gastroenterology practices in Tennessee, Mississippi, Ohio, and now with GHP, Kentucky and Indiana.

GHP is the largest independent gastroenterology practice in Kentucky, with 16 physicians and 12 advance practice providers across Louisville and Lexington, Kentucky, and southern Indiana.

“GHP and the other inaugural practices that make up One GI represent the best of their regions, and possess an unyielding devotion to their patients,” said John Garbarino, partner at Webster. “We are thrilled to partner with them to help them grow their practices to capture the benefits of scale while retaining the clinical autonomy and regional focus behind their excellent care. Goodwin has been behind us in every step of the One GI journey, and we appreciate their support as we continue to strengthen the platform.”

One GI’s Goodwin team, which counseled the firm on its formation and all six subsequent acquisitions, is led by John LeClaireChris Wilson, and Lindsay Reed (Private Equity and Healthcare).

“Goodwin is proud to have supported Webster for over a decade in partnering with the founders and management teams of promising healthcare services companies in order to help transform them into best-of-class businesses that provide their patients and customers with the highest level of dedication, service and quality of care,”  said Wilson.  “One GI is well on its way to becoming one of the most formidable gastroenterological practices in the country, and we are honored to play our part in helping them get there.”

The team advising on the GHP acquisition also included Anna DodsonJen Necas, David Patton and Nicole Spiteri (Tax), Tim Holahan and Lee Douthitt (Employment), Jim Mattus (ERISA & Executive Compensation), and Ai Tajima and George Schneider (Insurance).
