Goodwin’s Paris Private Equity team advised B & Capital on its majority investment in EDS Emballage, a specialist distributor of packaging solutions for grocery retailers’ fresh-food departments. The investment was made alongside the company’s management team.
Structured as a primary leveraged buyout, the transaction makes B & Capital the majority shareholder of EDS Emballage. François-Emerick de Forville has been appointed president and is reinvesting in the company. Emmanuel de Misouard, who has led its development since 2012, is stepping down from his leadership role but will remain involved alongside the new shareholder.
The transaction will support EDS Emballage’s growth strategy, including broadening its customer base and presence across retail chains, expanding into new departments and market segments, developing new products, and pursuing acquisitions.
Founded in 1997 and headquartered in Saint-Philbert-de-Bouaine, Vendée, EDS Emballage distributes technical packaging solutions for grocery retailers’ butchery, fish, and prepared-food departments. Its products include technical trays, films, catering packaging, and labels, with a focus on modified-atmosphere packaging (MAP) and SKIN technologies.
