Birnbach is a partner and co-chairs Goodwin’s Complex Litigation & Dispute Resolution and Public M&A / Corporate Governance practices. She regularly works hand-in-hand with Goodwin’s corporate team, advising on complex M&A deals in the technology and life sciences industries. She has also distinguished herself as a highly sought-after advisor for life sciences and pharmaceutical companies facing sensitive and often times, bet-the-company securities litigation matters and investigations.
Among Birnbach’s recent M&A success stories are victories for the former board of directors of Lionbridge Technologies, obtaining summary judgment dismissal of securities class action lawsuits challenging Lionbridge’s sale to H.I.G. Capital, and obtaining dismissal of class action litigation against Spark Therapeutics and its board of directors in connection with the $4.8 billion sale of Spark to Roche. Massachusetts Lawyers Weekly noted her representation of biopharmaceutical company Zafgen, Inc. in securities class action litigation that ultimately resulted in a dismissal upheld by the U.S. Court of Appeals for the First Circuit.
