Our public company M&A and industry-focused teams handle all aspects of sophisticated public M&A, including sell-side, buy-side, spinoffs, special committee deals, activist situations, financial advisor engagements, take privates, and Tax Receivable Agreement (TRA) buyout transactions. We work closely with our Public Company Advisory team and our Securities Litigation team to minimize risk and maximize value for our clients.

We handle all aspects of public and private M&A litigation. Our team handles deal litigation in federal and state courts across the country and maintains a highly active practice pursuing and defending litigation in the Chancery and Superior Courts of Delaware. Such litigation spans the gamut of deal-related disputes, from stockholder and post-closing litigation to books and records demands and FINRA investigations, among many other matters. We advise public companies, private equity and venture capital firms, and the portfolio companies in which they invest, and we work on integrated teams with our deal lawyers to minimize risk to our clients, maximize their execution success, and obtain successful resolutions for them when litigation arises or otherwise proves necessary.
