Goodwin Advises Frazier Healthcare on Portfolio Company's $308 Million Acquisition of AndersonBrecon

Goodwin attorneys recently advised Frazier Healthcare and its portfolio company Packaging Coordinators, Inc. (PCI) in the acquisition of AndersonBrecon from AmerisourceBergen Corporation. As a result of the $308 million cash deal, PCI is now one of the world’s largest outsourced pharmaceutical packaging businesses.

Frazier Healthcare is a provider of growth equity and venture capital to high growth and emerging healthcare service and biopharma companies. With over $1.8 billion under management across seven funds, the firm has invested in more than 140 companies across the healthcare developmental spectrum. Frazier Healthcare was founded in 1991 and has offices in Seattle, Wash. and Menlo Park, Calif.

Packaging Coordinators, Inc., based in Philadelphia, Pa., provides expertise in a range of proprietary pharmaceutical and biotechnology packaging innovations for healthcare clients across all markets. PCI leads the field for customized healthcare packaging solutions that improve patient adherence and uphold stringent safety requirements.

AndersonBrecon is a global provider of outsourced pharmaceutical packaging services and a trusted partner to the world’s largest pharmaceutical firms. The company offers services from early phase clinical studies through large scale Phase III/IV, commercial launch and ongoing supply. AndersonBrecon has offices in both the United States and United Kingdom.

AmerisourceBergen (NYSE: ABC) is one of the world’s largest pharmaceutical services companies, handling approximately 20% of all pharmaceuticals sold and distributed throughout the United States. The company is headquartered in Valley Forge, Pa.

Frazier acquired PCI in June 2012; Goodwin advised Frazier in the transaction.
