Goodwin served as legal counsel to the independent Transaction Committee of the Board of Directors of Sprint Corporation as part of T-Mobile US, Inc.’s merger with Sprint Corporation to create the New T-Mobile. Completing this deal took years of complex negotiations and nearly two years of regulatory review. The Goodwin team representing the Transaction Committee of Sprint was led by Stuart Cable and Mark Opper and included Deborah Birnbach, Paul Jin, Caroline Bullerjahn, Richard Matheny, Jennifer Fay, Jennifer Chunias and Morgan Mordecai and Caroline Galiatsos.
A Goodwin Technology team advised channel-based messaging platform Slack Technologies, Inc. on its acquisition by leading customer relationship management provider (CRM) Salesforce. Under the terms of the agreement, Slack stockholders received $26.79 in cash and 0.0776 shares of Salesforce common stock for each Slack share, representing an enterprise value of approximately $27.7 billion. The Goodwin team was led by Andrew Goodman, Lillian Kim, David Van Horne, and Erica Kassman, and included Tevia Pollard, Kathryn Weston, Amy Dau, Lynda Galligan, Monica Patel, Andre Amorim, Paul Jin, Jim Barri, Han Chang, Jim Riley, Molly Brekhus, Oren Stevens and Jacob Osborn.
