The Technology and Life Sciences teams advised Vital Connect, Inc. (“VitalConnect”) in its definitive agreement to be acquired by iRhythm Holdings, Inc. (Nasdaq: IRTC) and its wholly owned subsidiary, iRhythm Technologies, Inc., for total consideration of approximately $287.5 million. The consideration is expected to consist of approximately $237.5 million in cash and approximately $50 million in iRhythm common stock. The transaction is expected to close by the end of 2026, subject to regulatory and other customary closing conditions. 

VitalConnect is a leader in wearable biosensor technology and is expanding its presence in ambulatory cardiac monitoring. The company combines expertise in biomedical engineering, data analytics, chip design, and mobile and cloud software to support clinical decision-making across remote and inpatient settings. VitalConnect’s platform is designed to provide continuous, actionable patient data through an easy-to-use experience for patients and healthcare providers.
