Goodwin Advises Roku on $22 Billion Acquisition by FOX Corporation
The Technology and Public M&A teams advised Roku, Inc. (Nasdaq: ROKU) in its definitive agreement to be acquired by Fox Corporation (Nasdaq: FOXA, FOX) in a cash-and-stock transaction with an equity value of approximately $25 billion and an enterprise value of approximately $22 billion. Under the terms of the agreement, FOX will acquire Roku for $160 per share, consisting of $96 in cash and 0.9693 shares of FOX Class A common stock for each outstanding Roku share.
The transaction, which was unanimously approved by the boards of directors of both companies, will combine FOX’s leading sports, news, and entertainment content and the Tubi service with Roku’s leading connected TV platform, The Roku Channel, first-party data, and direct relationship with more than 100 million global streaming households. According to the companies, the combination is expected to create one of the largest streaming businesses in the United States. The transaction is expected to close in the first half of calendar year 2027, subject to customary closing conditions, including shareholder and regulatory approvals.
