The Technology team advised Miro on its definitive agreement to be acquired by Bending Spoons S.p.A. (NASDAQ: BSP) at an enterprise value of $1.355 billion. Together with Miro’s net cash, the transaction implies an equity value of approximately $1.79 billion. Under the terms of the all-cash transaction, Bending Spoons will acquire 100% of Miro’s issued and outstanding shares, and certain Miro shareholders have agreed to invest $295 million of their proceeds into newly issued Bending Spoons equity. The transaction is expected to close in the fourth quarter of 2026, subject to required regulatory approvals and other customary closing conditions.
